[Joel의 Global Dining Market] 코로나19의 여파, 미국 외식 산업의 위기_ 더 좋은 음식과 더 나은 서비스로 고객 공략해야

코로나19 여파로 2020년 6월까지 미국의 530개의 외식 업체가 문을 닫았다. 이는 미국 내 어떤 산업보다 가장 많은 수다. 문을 닫은 업체 중에는 지역 프랜차이즈 그룹뿐 아니라 직영·프랜차이즈 브랜드도 포함돼 있어 하반기에 들어서면 추세가 더 심해질 것으로 보인다.


지난 달, 1200개의 피자헛과 400개의 웬디스를 가진 초대형 프랜차이즈 NPC 인터내셔널이 연방파산법 11장에 따른 파산 절차에 들어갔다. 최근 다른 사례로는 처키 치즈, 가든 프레시 레스토랑, 르 팽 코티디앵의 미국 자회사 푸드 퍼스트 글로벌 레스토랑(Brio & Bravo), 대규모 IHOP 프랜차이즈 그룹(CFRA Holdings)이 있다.


영국의 레스토랑 그룹들도 비슷한 어려움에 처해 있다. 제이미 올리버, 버거 브랜드 바이런, 카를치오 등을 운영하고 있는 캐주얼 다이닝 그룹 KKR은 같은 상황을 겪고 있는 대표적인 브랜드다. 파산 또는 금융 재편을 검토하는 대부분의 레스토랑은 메뉴가 다양한 패스트 캐주얼(Fast Casual) 레스토랑이거나 풀 서비스 레스토랑이다. 그러나 한편으로 드라이브 스루를 활용하고 있는 QSR 체인들은 꽤 잘 운영되고 있다. 심지어 타코 벨 & 윙스톱 같은 브랜드들은 코로나19 동안에도 동일 점포 매출 증가에 긍정적인 효과를 누리고 있다.


한편 파산이 꼭 부정적인 결과만을 초래하는 것은 아니다. 파산으로 회사의 체질개선 기회를 마련할 수 있기 때문이다. 파산 시 다른 회사로 인수되거나 매각하는 경우도 마찬가지다. 게다가 파산은 회사에게 실적이 좋지 않은 상점의 임대 계약을 해지할 기회도 준다.


하지만 파산에 긍정적인 면보다 부정적인 면이 많은 것은 사실이다. 오늘날 재정적으로 어려움에 처한 많은 외식 업체들은 좋은 사업모델을 가지고 있었지만 불행히도 그들의 개인 주식 소유주들에 의해 너무 많은 빚을 떠맡았다.


전문 금융업계는 레스토랑 체인을 음식의 질이나 팀원들의 복지에 신경 쓰기보다 마치 현금 인출기로 보는 경우가 너무 많다. 모든 기업의 재무 건전성에 극도로 위험한 5개 이상의 EBITDA 비율에 대한 총 부채를 보는 것은 더 이상 드문 일이 아니다. 또한 동일 매장 매출의 10% 감소 또는 그 이상의 감소는 현재 코로나19 상황처럼 부채 수준이 너무 높다면 레스토랑 혹은 소매업을 곤경에 빠뜨릴 수 있다.


캘리포니아 피자 키친(CPK)이 운용하는 사모펀드는 최근 두 번의 대출금 상환을 놓치고 3000만 달러의 단기 대출을 받음으로써 파산을 피하려고 애쓰고 있다. PE 펀드가 초과 부채의 일부는 배당 형태로 회사로부터 현금의 형태로 얻길 바란 것이었다. 하지만 그런 방식으로는 PE 펀드가 적자는 모면할 수 있어도 외식업체와 직원들이 파산 및 실직 위기에 직면해 있는 상황은 변함이 없다. 따라서 금융공학적 관점에서 오로지 회사만 살릴 목적으로 접근하는 이들 아니고서야 쉽게 옹호받기는 힘든 전략이다.


미국 내 200대 프랜차이즈 그룹 중 상당수는 사모 펀드로부터 투자를 받았다. 이것은 종종 사업에서 현금을 다른 곳에 투자하거나 가족들에게 분배할 수 있는 능력을 가진 사업주들에게 매력적인 선택이다.


이 외에도, 많은 소유주들은 그들의 레스토랑 부지를 팔아 고정된 임대료로 20년 동안 다시 임대하는 ‘세일 리스백(Sale Leasebacks, 매각 후 재 임대, 매매 후 임차 전략 자금 유통을 위해 소유하던 부동산을 팔아 자금을 마련하고 그것을 다시 빌려 영업하는 경영전략)’을 검토 중이다. 부동산투자신탁(REIT’s)은 잠재적 수익률을 감안할 때 이러한 신디케이트(동일 시장 내의 여러 기업이 출자해 공동판매회사를 설립, 일원적으로 판매하는 조직) 거래를 종종 매입한다. 제로 금리나 마이너스 금리 환경에서는 4~5%의 수익률이 연금 기금이나 대학 기부금과 같은 투자자들에게 매우 좋아 보인다.



그러나 코로나 기간 동안 풀 서비스 레스토랑 중 상당수는 매출이 50~60%이나 감소하면서 임대료를 지불하지 못하는 경우가 생기고 있다. 따라서 이러한 상업용 부동산 신탁은 투자자들에게도 지불할 수 없다. 적극적인 레버리지와 세일 리스백 전략은 호기에는 높은 수익률을 기대할 수 있지만, 상황이 어려운 경우에는 언제 터질지 모르는 폭탄과도 다름없다. 채권 보유자, 부동산 투자 신탁, 식당 종업원들은 모두 고통을 분담하고 있지만, 대부분의 경우 사모펀드는 이미 다가오는 고통으로부터 스스로를 보호하기 위한 충분한 조치를 취했다.


미국의 레스토랑 체인점들 대부분은 지난 10~20년 동안 그들의 시설에 저조한 투자를 해왔고 그것은 어느 식당가에게나 쉽게 나타난다. 맥도날드, KFC, 버거킹, 피자헛 등과 같은 대형 브랜드도 예외는 없다. 그런 의미에서 기존 대형 체인이 아닌 인앤 아웃 버거, 칙필레, 레이징 케인즈 등 가족 소유 브랜드들이 드라이브스루와 같은 시도를 통해 기록적인 판매와 긴 대기 줄을 보이는 것도 놀랄 일이 아니다. 그들은 더 높은 임금을 지불해 더 나은 사람들을 얻고, 그들의 시설을 최상의 상태로 유지하기 때문이다. 그리고 그런 그들은 뛰어난 음식 품질과 서비스를 가지고 있고, 단기적인 재정 실적에 대해 덜 걱정한다.


앞으로 미국 외식 산업은 재정적 지표보다 더 좋은 음식과 더 나은 서비스로 고객을 공략하는 편이 지금의 위기를 해쳐나가는데 도움이 될 것이다. 특히 오늘날과 같은 힘든 시기에는 말이다. 코로나19는 산불처럼 이 산업을 헤치고 많은 피해를 양산할 것이다. 지역 사회에는 독립된 레스토랑은 훨씬 적어지고 파산자가 더 많아질 것이다. 유일한 원인이라고 할 수는 없지만, 미국은 금융투자자들이 외식업계에 발들이기 시작하면서 코로나19 파산의 불씨에 간접적인 영향을 미쳤다. 코로나19로 미국뿐만 아니라 많은 나라의 외식업계가 어려움에 처했다. 한국도 그 피해가 크다고 들었는데 한국의 외식기업들은 미국과 같이 어려운 상황을 더 어렵게 만드는 일은 없기를 바란다.



What’s Wrong with the USA Restaurant Industry?






Through June 2020, there have been 530 restaurant group bankruptcies, the most of any industry in the USA. They are a mixture of regional franchisee groups as well as direct owned & franchisor brands, and the trend will only get worse into the second half of the year. 

Just last month, NPC International, a mega-franchisee with 1200 Pizza Hut and 400 Wendy’s restaurants entered into Chapter 11 proceedings. Other recent cases are Chuck E Cheese’s, Garden Fresh Restaurants, the USA subsidiary of Le Pain Quotidien, Food First Global Restaurants (Brio & Bravo), and a large IHOP franchise group(CFRA Holdings). 
Restaurant groups in the UK are facing similar challenges. The KKR backed Casual Dining Group, Jamie Oliver’s Italian,  burger brand Byron, and Carluccio’s are just a few of the well-known brands undergoing the same fate across the pond.
It is important to note that the majority of the groups filing for bankruptcy or looking at financial reorganization of some kind are independent fast causal or full-service restaurants with a large dine in component. Many QSR chains with large numbers of drive-thru lanes are actually doing quite well and brands like Taco Bell & Wingstop are enjoying positive same store sales growth even during COVID-19.

It should also be noted that bankruptcy can be a positive thing as it often leads to a leaner healthier company. Acquisitions and sales during bankruptcy are also common. Moreover, bankruptcy gives a company the opportunity to terminate leases of poor performing stores.

However, there is a dark side to bankruptcy that I wish to explore here. Many of the restaurant groups in financial trouble today were perfectly good businesses but unfortunately took on far too much debt by their private equity owners.
Restaurant chains are too often viewed by the professional finance community as “cash machines” with no care given to the quality of the food or the welfare of the team members.  It is not uncommon anymore to see total debt to EBITDA ratios of 5 or more which is extremely dangerous to the financial health of any business.  Same store sales declines of 10% or more can lead any restaurant or retail industry into distress if debt levels are too high, which is the case now with COVID-19.

PE backed California Pizza Kitchen (CPK) has recently missed two loan payments and is trying to avoid bankruptcy by seeking a $30 million bridge loan.  Part of the excess debt was a result of the PE Fund wishing to take cash out of the company in the form of dividends.  The PE Fund gets it money out but the restaurant group and employees are faced with bankruptcy and job losses.  This certainly does not seem like a very defensible practice unless one is only interested in financial engineering.

Of the top 200 largest franchisee groups in the USA, a significant number of them have taken investments from Private Equity. This is often an attractive option for business owners who have the ability to get their cash out of the business and invest it elsewhere or distribute it to family members.  In addition to this, many owners also look at sale leasebacks whereby they sell the land under their restaurants and then lease it back for 20 years at a fixed rent.  Real Estate Investment Trusts (REIT’s) often buy these syndicated deals given the potential yield.  In a zero or negative interest rate environment, a yield of 4-5% looks very good to investors like pension funds or University endowments.

However, during COVID-19, many of these full-service restaurants cannot pay their rent given that their sales may have declined by as much as 50-60%. These commercial real estate trusts therefore, cannot pay their investors as well.
Excess leverage and sale leasebacks can generate higher financial returns in good times but there are nuclear bombs when times turn bad. Bond holders, real estate investment trusts and restaurant employees all suffer but private equity in many cases has already taken sufficient steps to protect itself from the coming pain. 

The majority of restaurant chains in the USA have underinvested in their facilities over the past 10-20 years and it is readily apparent to any diner.  I include all the big brands like McDonald’s. KFC, Burger King, Pizza Hut, etc. in this category. It is also no surprise that family owned brands like In N’ Out Burger, Chick-Fil-A, and Raising Canes are enjoying record sales and long lines at the drive thru. They pay higher wages and get better people and keep their facilities in top shape. They have excellent food quality and service and are less concerned with short term financial performance.

The USA restaurant industry will be far better off when owners focus more on the basics of making good food and taking care of customers and less on financial engineering.  They are rarely compatible especially in tough times like today.
COVID-19 will tear through this industry like a forest fire and leave enormous destruction in its path. There will be far fewer independent restaurants in local communities and many more bankruptcies. While certainly not the only cause, professional financial investors have certainly added gas to the fire while perhaps not lighting the match directly.
